1. What AllSquare Does

AllSquare helps users split expenses with private groups, flexible splits, real-time syncing, and AI-powered expense entry. The app offers both free and paid features.

Our AI-powered expense entry feature uses OpenAI's GPT-4o-mini or Google's Gemini AI to parse natural language expense descriptions. When you use this feature, your expense description and group member information are sent to these AI providers for processing.

2. Who Can Use AllSquare

To use AllSquare, you must:

• Create an account using Google OAuth or email/password
• Be legally permitted to enter a binding agreement
• Not be under 13 years old (or 16 in some countries)

We do not knowingly allow children under 13 to register.

3. Acceptable Use

You agree not to:

• Use AllSquare for unlawful, fraudulent, or abusive purposes
• Harass or threaten other users
• Reverse engineer, copy, sell or resell, license, sublicense, lease or otherwise distribute any part of the service
• Use automation or bots to interact with the service without our permission
• Make any service available to, or use any service for the benefit of, anyone other than you, including without limitation any competitor of AllSquare
• Use the service to store, transmit, solicit, or collect data that infringes the intellectual property or proprietary rights of a third party
• Use the service to transmit Malicious Code
• Frame or mirror any part of any service, other than framing on your own intranets or otherwise for your own internal business purposes
• Interfere with or disrupt the integrity or performance of any service or third-party data contained therein, or attempt to gain unauthorized access to or perform security testing on any service or its related systems or networks
• Access the service or monitor the service's availability, performance or functionality in order to build a competitive product or service, or for any other benchmarking or competitive purposes, or create derivative works of or reverse engineer any service offered by AllSquare

You also agree to:

• Be responsible for compliance with these terms by you and any other person or entity you allow to use the service
• Be responsible for the accuracy, quality and legality of Customer Data and the means by which it is acquired and provided to AllSquare
• Prevent unauthorized access to or use of the service, and notify AllSquare promptly of any such unauthorized access or use
• Comply with the terms of service of any Third Party Applications Providers
• Regularly update your billing and contact information with us

We reserve the right to suspend or terminate accounts for violating these rules.

4. User Content and AI Processing

You may input group names, expense descriptions, and upload avatars. You retain all rights to your Customer Data but grant AllSquare a worldwide, non-exclusive, royalty-free license to use, copy, transmit, display, and distribute it as necessary to operate the service, to provide support, address service issues/requests, or improve or enhance the service, or as required by law, regulation or in accordance with governmental request or legal process.

When you use our AI-powered features, your Customer Data may be processed by Third Party Applications Providers. While we don't store your Customer Data with these providers, they may process it according to their own terms of service. Any use of applications of a Third Party Applications Provider, any exchange of data between you and any Third Party Applications Provider (including if through our service), and any governing terms are solely between you and the applicable provider. The AI-generated expense entries are suggestions and you are responsible for verifying their accuracy.

You acknowledge and agree that use of our services to transmit, store, collect, or otherwise process Highly Sensitive Information is unnecessary for use of such services and you shall be solely responsible for any such use of the services by you or anyone you authorize as a user, including ensuring that transmittal, processing, collection, or storage of such information is in compliance with applicable laws.

We may remove content or other Customer Data that violates our terms or applicable laws.

5. Subscriptions and Payments

AllSquare is currently in beta and free to use. We plan to introduce paid subscription plans in the future. AllSquare may discontinue beta services at any time in our sole discretion and may or may not make them generally available. Beta services are provided "as-is", without warranties of any kind. AllSquare will have no liability for any harm or damage arising out of or in connection with a beta service.

When paid plans become available:

• We will endeavor to offer monthly and yearly billing options
• Payments will be processed securely via Stripe or a similar Third Party Applications Provider
• We will never store your payment card details
• Refund and cancellation policies will be clearly communicated before launch

Current beta users will receive advance notice before any paid features are introduced.

For any paid services offered in the future, you must provide us or our designated Third Party Applications Provider with valid and updated credit card information. If you provide credit card information, you authorize us to charge such credit card for all services ordered for the initial subscription term and any renewal subscription term. Such charges shall be either annually or in accordance with any different billing frequency stated in the applicable order. Any fees more than 30 days overdue may, without limiting other remedies, incur interest at the rate of 1.5% per month, or the maximum rate permitted by law, and we may suspend the service until such amounts are paid in full.

Fees for any paid services do not include any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use or withholding taxes, assessable by any jurisdiction whatsoever. You are responsible for paying all such taxes associated with purchases hereunder.

6. Intellectual Property

AllSquare owns all intellectual property in the service, including branding, code, design, and content (excluding user content). You may not copy, reuse, or distribute any part of the service without permission. No rights are granted to you hereunder other than the right to receive and use the services as expressly set forth herein. AllSquare and its licensors reserve all of AllSquare's or its licensors' right, title, and interest in and to the services and all modifications, enhancements, derivative works, and upgrades thereto, including all of AllSquare's or its licensors' related intellectual property rights.

7. Disclaimers

AllSquare is provided "as-is." Without representations or warranties of any kind, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not make any guarantees about uptime, accuracy, or availability. Your use of the app is at your own risk.

ALLSQUARE IS NOT RESPONSIBLE FOR DATA QUALITY ISSUES OR LOSS OF DATA AND YOU WILL MAINTAIN BACKUP COPIES OF CUSTOMER DATA ON YOUR OWN SYSTEMS. FURTHER, ALLSQUARE IS NOT RESPONSIBLE FOR ANY CLAIMS OR LIABILITY ARISING OUT OF YOUR FAILURE TO OBTAIN CONSENT OR PROPERLY NOTIFY THIRD PARTIES OF THE DATA COLLECTION AND PROCESSING ACTIVITIES CONDUCTED THROUGH THE SERVICES. ALLSQUARE IS ALSO NOT RESPONSIBLE FOR ANY ISSUES RELATED TO THE PERFORMANCE, OPERATION, OR SECURITY OF THE SERVICES THAT ARISE FROM CUSTOMER DATA, CUSTOMER OWNED OR CONTROLLED NETWORKS, SYSTEMS, OR TECHNOLOGY, OR FROM THIRD PARTY APPLICATIONS. ALLSQUARE HAS NO RESPONSIBILITY FOR THE PERFORMANCE OR OTHER OBLIGATIONS OF ANY THIRD PARTY APPLICATIONS PROVIDERS.

8. Limitation of Liability

To the maximum extent permitted by law, AllSquare and its team shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the service. IN NO EVENT WILL ALLSQUARE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT PAID BY YOU HEREUNDER IN THE 12 MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE LIABILITY. THE ABOVE LIMITATION WILL APPLY WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY. However, the foregoing limitations shall not apply to (a) liability for personal injury; or (b) liability arising out of gross negligence or willful misconduct. No action against AllSquare arising out of this Agreement may be brought more than one (1) year after the cause of action has arisen.

You will defend us and our affiliates, and our respective members, managers, officers, directors, shareholders, partners employees, agents, and contractors from and against any Claims arising from or relating to Customer Data, misuse of the services or other violation of these terms and will indemnify and hold such parties harmless from and against any loss, liability, damage, fine, penalty, tax, costs, and expenses (including but not limited to reasonable attorney fees and costs) incurred in connection with such Claims.

9. Changes to Terms

We may update these Terms from time to time. For major changes, we'll notify users via email and in-app banners. Continued use after an update constitutes acceptance of the new terms.

10. Account Termination and Data Retention

We may suspend or delete accounts that:

• Violate our Terms
• Remain inactive for more than 24 months
• Are required to be closed by law or court order
• Are part of discontinued features or services

You may request account deletion at any time. Upon deletion:

• Your personal data will be deleted within 30 days
• Some data may be retained for legal compliance (up to 90 days)
• Anonymized aggregate data may be retained for analytics

11. Governing Law

These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict of laws rules, and any dispute must be resolved in the exclusive jurisdiction of the federal and state courts sitting in or serving the County of Anne Arundel, State of Maryland.

12. Third-Party Services

AllSquare integrates with the following third-party services:

• Supabase (authentication, database, file storage)
• OpenAI and Google AI (expense parsing)
• Stripe (payment processing)
• Resend (transactional emails)
• PostHog (analytics and product improvements)
• Vercel (hosting and infrastructure)

Your use of AllSquare may be subject to these services' own terms and privacy policies.

13. Definitions

These terms have the following meanings for purposes of these terms and conditions:

"Claim" means claims, demands, suits, litigation, subpoena or similar proceedings brought by a third party.

"Customer Data" means electronic data and information you submit, transfer, or upload to the AllSquare service or that is collected from third parties by you through access or usage of the service, and which is processed by AllSquare on your behalf (if any).

"Highly Sensitive Information" means (a) numbers used for identification, such as social security numbers, passport numbers, or driver's license numbers; (b) personal health or medical information; (c) banking or payment card information (except to the extent submitted for paid services through our designated Third Party Applications Provider); (d) sensitive government or military information, including information subject to U.S. FedRAMP requirements; (e) information collected from or regarding minors or children; (f) criminal history; (g) other personal information which qualifies (pursuant to data privacy laws and regulations) as a special category of personal data, sensitive personal information, or similarly defined terms, such as a person's religious or philosophical beliefs, immigration or citizenship status, genetic or biometric data, and sexual life or sexual orientation; or (h) data which by law must be localized in a jurisdiction outside of the United States or requires additional requirements beyond those agreed upon herein to permit transfer to the United States.

"Malicious Code" means code, files, scripts, agents, or programs intended to do harm, including, for example, viruses, worms, time bombs, and Trojan horses.

"Third Party Applications Providers" means providers of products, services or information that interoperate with the service and are provided by third parties and not AllSquare, including without limitation third-party AI services (e.g., OpenAI or Google AI), the providers of third-party services referenced in Section 12 of these terms, and others engaged from time to time.

14. General Terms

The services may be subject to export laws and regulations of the United States and other jurisdictions. Each party represents that it is not named on any U.S. government denied-party list. You shall not permit any user to access or use any service in a U.S.-embargoed country or region or in violation of any U.S. export law or regulation.

The service is personal to you, and you may not assign any of your rights or obligations hereunder, whether by operation of law or otherwise, without our prior written consent. AllSquare may assign this Agreement in its entirety to any of its affiliates, in connection with a merger, acquisition, or corporate reorganization, or in connection with the sale of all or substantially all of its assets. Subject to the foregoing, these terms will bind and inure to the benefit of the parties, their respective successors and permitted assigns.

These terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties. There are no third-party beneficiaries under these terms.

No failure or delay by either party in exercising any right under these terms will constitute a waiver of that right. If any provision of these terms is held by a court of competent jurisdiction to be contrary to law, the provision will be deemed null and void or, preferably, 'blue-penciled' and scaled back until it is no longer contrary to law, and the remaining provisions of these terms will remain in effect.
